Verve — Terms of Use

1. Acceptance of Terms

Verve is made and operated by Sadiya Healthcare Private Limited, a company incorporated in India under the Companies Act, 2013 (CIN U58202MR2026PTC482242), with its registered office at Flat 403, Plot 152, Sector 2, Ulwe, Panvel, Raigad, Maharashtra 410206, India ("the Company", "we"). By downloading, installing, or using Verve ("the App"), you agree to be bound by these Terms of Use ("Terms") between you and the Company. If you do not agree, do not use the App.

2. Description of Service

Verve is a wellness information tool that tracks MET-hours and estimates cardiorespiratory fitness (CRF) using data from Apple Health and manual entries. The App references published clinical research to provide fitness context and optional AI-generated activity suggestions.

3. Not Medical Advice

Verve is not a medical device under FDA, CE, TGA, or any other regulatory framework. The App does not diagnose, treat, cure, or prevent any disease or medical condition. All CRF estimates, MET calculations, and AI suggestions are statistical approximations derived from population-level research and may not reflect your individual physiology.

You must consult a qualified healthcare professional before starting, modifying, or intensifying any exercise programme, particularly if you have cardiovascular disease, diabetes, hypertension, or any other health condition.

Verve is not a medical record. A coach or clinician you share a page with sees what you chose and may keep a note on it. That note is a copy for their own convenience: they can export it at any time, and when you stop sharing it is no longer available to them on Verve. Clinicians remain responsible for their own patient records under the law that applies to them, and nothing on Verve replaces those records.

4. User Responsibilities

You are solely responsible for:

The accuracy of any data you manually enter
Your exercise choices and physical activity decisions
Maintaining the security of your device and account credentials

5. AI Suggestions

The optional AI Coach feature sends anonymised fitness data to Anthropic's API to generate activity suggestions. These suggestions are informational only and do not constitute personalised medical advice. The AI may produce inaccurate or inappropriate suggestions. You use this feature at your own risk.

6. Subscriptions & Billing

Verve offers auto-renewable subscription plans ("Verve Pro") that unlock premium features including AI Coach suggestions.

Payment will be charged to your Apple ID account at confirmation of purchase.
Subscription automatically renews unless cancelled at least 24 hours before the end of the current billing period.
Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan.
You may manage your subscriptions and turn off auto-renewal in your Apple ID Account Settings after purchase.
Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.
All payments are processed by Apple. The Company does not have access to your payment information.

Both plans include a 14-day free trial. Prices may vary by region and are subject to change.

7. Intellectual Property

All content, code, design, algorithms, AI system prompts, user interface elements, and documentation comprising Verve are the intellectual property of the Company and are protected by copyright and other intellectual property laws.

8. Prohibited Conduct

You agree not to:

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
Copy, modify, or create derivative works based on the App
Remove, alter, or obscure any copyright, trademark, or proprietary notices
Use automated tools to scrape, extract, or reproduce any part of the App
Redistribute, sublicense, or resell the App or any component thereof
Attempt to circumvent security measures, authentication, or rate limiting

9. Third-Party Services

Verve integrates with:

Apple HealthKit — governed by Apple's terms and privacy policies
Anthropic API (optional) — governed by Anthropic's terms of service
Supabase (optional cloud sync) — governed by Supabase's terms of service

The Company is not responsible for the availability, accuracy, or policies of third-party services.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the App.

11. Disclaimer of Warranties

The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Modifications

The Company reserves the right to modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of India. Any dispute arising from these Terms or from your use of the App is subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra, India.
